1. Definitions
In this Service Agreement, "Carrier" refers to TNS Trucking & Hauling LLC. "Shipper" refers to the individual or entity requesting transportation services. "Consignee" refers to the party designated to receive the freight.
2. Scope of Services
TNS provides comprehensive freight transportation including Full Truckload (FTL), Less-Than-Truckload (LTL), and specialized hauling. We act as a contract motor carrier under authority granted by the FMCSA, maintaining all required federal and state permits for North Carolina and interstate operations.
3. Shipper Obligations
The Shipper must provide accurate descriptions of cargo, including weight, dimensions, and hazardous material classifications. All cargo must be properly packaged, labeled, and prepared for safe transit. TNS reserves the right to inspect or refuse any shipment that poses a safety risk or violates regulatory standards.
4. Rates, Charges, and Payment Terms
Invoices are issued based on the agreed-upon quote or published rate schedule. Payment is due within 15 days of the invoice date unless otherwise specified in a separate Credit Agreement. Late payments are subject to a 1.5% monthly finance charge. In the event of non-payment, TNS maintains a carrier's lien on all freight in our possession.
5. Liability and Cargo Claims
TNS's liability for loss, damage, or delay to cargo is governed by the Carmack Amendment (49 U.S.C. § 14706). Our standard liability limit is $100,000 per shipment unless additional valuation is declared and paid for by the Shipper in writing prior to pickup. Claims for visible damage must be noted on the Bill of Lading (BOL) at the time of delivery.
6. Force Majeure
Neither party shall be liable for failure to perform duties due to events beyond their reasonable control, including but not limited to: acts of God, extreme weather conditions, government closures, strikes, or major infrastructure failures. We prioritize safety and will resume service as soon as conditions permit.
7. Governing Law
This agreement is governed by the laws of the Federal United States and the State of North Carolina. Any legal actions arising from these terms shall be brought exclusively in the courts of Cabarrus County, NC.
